1. Agreement to Terms

By accessing or using the services provided by PrimeLayer Solutions ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

PrimeLayer Solutions provides Airtable consulting services, including but not limited to database design, automation setup, integration development, training, and ongoing support. The specific scope of services will be defined in individual project agreements or statements of work.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for project completion
  • Respond to requests for feedback and approvals in a timely manner
  • Maintain an active Airtable subscription as required for your project
  • Provide necessary access credentials and permissions
  • Use our services in compliance with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual project agreements. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may incur interest charges and may result in suspension of services until payment is received.

5. Intellectual Property

Upon full payment, you will own the custom Airtable solutions we create specifically for your project. However, we retain ownership of our general methodologies, frameworks, and pre-existing materials. We reserve the right to use anonymized project examples in our portfolio and marketing materials.

6. Confidentiality

We will maintain the confidentiality of your proprietary information and data. Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law.

7. Warranties and Disclaimers

We strive to provide high-quality services but cannot guarantee specific results or outcomes. Our services are provided "as is" without warranties of any kind, either express or implied. We are not responsible for issues arising from Airtable platform changes, third-party integrations, or client misuse of delivered solutions.

8. Limitation of Liability

To the maximum extent permitted by law, PrimeLayer Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.

9. Termination

Either party may terminate a project agreement with written notice as specified in the agreement. Upon termination, you will be responsible for payment of all work completed up to the termination date.

10. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
